1. Application of These Terms
(1)These Terms apply to the relationship between a user and Japan Consulting in connection with use of the Site.
(2)By using the Site, you acknowledge that you have read and agree to these Terms.
(3)Notices, guidelines, and other rules separately posted on the Site (Additional Rules) form part of these Terms. If an Additional Rule conflicts with these Terms, the Additional Rule prevails with respect to the matter it addresses.
2. Definitions
In these Terms, the following words have the meanings set out below.
(1)Site means the website operated by Japan Consulting (https://j-consulting.co.jp), including its Japanese-language and English-language sections, its subdomains, and related pages.
(2)User means any person who accesses or uses the Site.
(3)Content means all text, images, charts, tables, video, logos, designs, source code, and other information published on the Site.
(4)Services means consulting, assessments, ongoing support, and other services provided by us, whether paid or free.
(5)Inquiries means inquiries, consultation bookings, requests for materials, newsletter registrations, and other communications submitted through the Site.
3. Intended Use of the Site
The Site is intended to be used for the following purposes.
(1)obtaining information about our Services
(2)making an inquiry or booking a consultation
(3)reading Content published by us
(4)receiving information from us, including newsletters
(5)other purposes approved by us
You must use the Site appropriately and consistently with these purposes.
4. Intellectual Property and Permitted Discovery
(1)Copyright, trademark rights, patent rights, design rights, and other intellectual property rights in the Site and its Content belong to Japan Consulting or the relevant third-party rights holder.
(2)Without our prior written permission, you may not use Content in any of the following ways.
(3)Personal viewing, and quotation within the limits permitted by the Copyright Act of Japan, are permitted to a reasonable extent with appropriate source attribution.
・Indexing and display in search results by search engines and by AI-powered search or discovery services, including extracts reasonably necessary to identify, describe, cite, and link to the relevant page. This does not extend to model training, bulk reproduction, creation of a substitute database, or circumvention of technical restrictions.
(4)Our logos, trade names, and trademarks may not be used without our permission.
・reproducing, republishing, distributing, publicly transmitting, or altering Content
・adapting Content or creating derivative works from it
・using Content for a commercial purpose, or providing or selling it to a third party
・using Content to train an AI model or as training data
・collecting Content in bulk through scraping or automated retrieval tools
5. Accuracy of Content and General Information
(1)We seek to keep the Content on the Site accurate and current, but do not warrant its accuracy, completeness, usefulness, currency, or suitability.
(2)The Content is provided for general informational purposes. It is not advice, a recommendation, an assessment, or proposed contract terms tailored to a particular user's circumstances.
(3)We are not responsible for decisions, actions, judgments, or transactions undertaken in reliance on information on the Site. For a material decision, please obtain advice appropriate to your circumstances, whether from us under an individual engagement or from another suitably qualified adviser.
(4)Matters requiring specialist judgment in finance, tax, law, human resources, or another regulated field should be referred to an appropriately qualified professional.
(5)The exclusions and limitations in this Article are subject to Section 13 (Scope of Disclaimers and Limitations of Liability).
6. AI-Assisted Content
(1)Some Content on the Site is prepared with the assistance of generative AI tools. For our approach to using AI tools, please see our AI Transparency Policy.
(2)AI-assisted Content is published only after human fact-checking, editing, and quality review. Even so, given the nature of the technology, it may contain inaccurate, outdated, incomplete, or imprecise information.
(3)We are not responsible for decisions, actions, or judgments undertaken in reliance on AI-assisted Content.
(4)If you identify a possible error in AI-assisted Content, we would be grateful if you would let us know. We will review it and make an appropriate correction promptly.
(5)This Article applies to Content published publicly on the Site. Liability relating to a deliverable provided to a client under an individual agreement is governed by that agreement.
(6)The exclusions and limitations in this Article are subject to Section 13 (Scope of Disclaimers and Limitations of Liability).
7. Third-Party Links and Services
(1)The Site may contain links to external files, external websites, and third-party tools or services. We do not control their content, availability, security, or handling of information, and to the extent permitted by law we are not responsible for them.
(2)The Site uses third-party services including HubSpot, Calendly, Typeform, and Tally. To the extent permitted by law, we are not responsible for loss arising from a user's use of those services.
(3) Links to public pages of the Site are generally permitted. However, we do not permit links from a website that violates law or public policy, that contains material defaming Japan Consulting or a third party or unlawfully harming reputation or credibility, that falsely suggests sponsorship, endorsement, affiliation, or approval, or that obscures the source or nature of the Content.
(4)The Site uses Calendly, Typeform, Tally, HubSpot, Google Analytics 4, LinkedIn, and other third-party services. For information about the data handled through those services, please see our Privacy Policy and Cookie Policy, together with each provider's own privacy information.
(5)The exclusions and limitations in this Article are subject to Section 13 (Scope of Disclaimers and Limitations of Liability).
8. Prohibited Conduct
In using the Site, you may not engage in any of the following conduct.
(1)violating applicable law or public policy
(2)infringing the intellectual property, privacy, reputation, credit, or other rights or interests of Japan Consulting or a third party
(3)gaining unauthorized access to the Site, or hacking, cracking, or similar conduct
(4)interfering with the operation of the Site
(5)collecting information in bulk through scraping or automated retrieval tools
(6)reproducing, republishing, altering, or distributing Content without authorization
(7)using Content to train an AI model or as training data
(8)impersonating another user or a third party
(9)providing false information to us (through an inquiry form, consultation booking, or similar)
(10)systematically or continuously collecting, reproducing, analyzing, or using Content from the Site, without our prior permission, for competitive analysis, imitation, interference with our business, AI training, or another purpose that unfairly harms our interests
(11)sales, solicitation, religious or political campaigning, or other conduct inconsistent with the purpose of the Site
(12)transmitting malware or other harmful code
(13)other conduct that we reasonably consider improper in light of the purpose and operation of the Site
Where we determine that a user has engaged in any of the prohibited conduct above, we may restrict that user's use of the Site without prior notice.
9. Inquiries and Consultation Bookings
(1)You may contact us through the inquiry form or the consultation-booking form on the Site.
(2)We may decline to respond depending on the nature or content of an inquiry or booking request.
(3)A response may take several business days, depending on the subject. We do not guarantee urgent handling.
(4)A free consultation is intended to assess whether our Services may be suitable. It does not guarantee specific consulting advice or particular contract terms.

10. Terms Applicable to Services
(1)The scope, fees, duration, deliverables, ownership of intellectual property, confidentiality obligations, termination terms, and other conditions of a paid Service (consulting, assessments, ongoing support, and similar) are governed by the services agreement, non-disclosure agreement, and other terms entered into separately between us and the user or the contracting company.
(2)Service descriptions and fees published on the Site are indicative. Actual contract terms are determined in an individual quotation and agreement.
(3)If information on the Site conflicts with an individual agreement, the individual agreement prevails.
11. Changes to, Suspension of, or Discontinuation of the Site
(1)We may change the Content, structure, URL, or conditions of access to the Site without prior notice to users.
(2)We may suspend, halt, or discontinue all or part of the Site without prior notice to users in any of the following circumstances.
・maintenance, servicing, or updates to the Site
・force majeure, including earthquake, lightning, fire, power failure, or natural disaster, making operation of the Site difficult
・failure of communications lines, computer systems, or comparable infrastructure
・unauthorized access, cyberattack, or another security incident
・any other circumstance in which we determine that suspension of the Site is necessary
(3)To the extent permitted by law, we are not responsible for loss caused to a user or a third party by a change to, suspension of, or discontinuation of the Site. This paragraph is subject to Section 13 (Scope of Disclaimers and Limitations of Liability).
12. Disclaimer
(1)To the extent permitted by law, we give no warranty, express or implied, as to the accuracy, completeness, usefulness, currency, or suitability of the Site, its Content, or its functions, as to non-infringement of third-party rights, or as to continuous availability.
(2)To the extent permitted by law, we are not responsible for indirect, special, or consequential loss, or loss of profit, arising from a user's use of the Site.
(3)To the extent permitted by law, we are not responsible for actions taken by a user on the basis of information or data obtained through the Site.
(4)For Services provided under an individual agreement entered into between us and a user, the scope of liability set out in that agreement applies.
(5)The exclusions in this Article are subject to Section 13 (Scope of Disclaimers and Limitations of Liability).
13. Scope of Disclaimers and Limitations of Liability
(1)The disclaimers and limitations of liability in these Terms apply only to the extent permitted by applicable law.
(2)Nothing in these Terms excludes or limits our liability for loss caused by our willful misconduct or gross negligence, or any other liability that cannot lawfully be excluded or limited.
(3)If a disclaimer or limitation of liability in these Terms is held invalid or unenforceable by law, it applies to the maximum extent permitted by law.
(4)The scope of liability relating to Services we provide under an individual agreement is governed by that agreement.
14. Personal Information and Cookies
We handle users' personal information and cookie-related data in accordance with our Privacy Policy and Cookie Policy. Where necessary, we will obtain consent and complete any other required procedure separately, in accordance with applicable law.
15. Exclusion of Anti-Social Forces
(1)You represent and warrant that you are not an organized crime group (boryokudan), a member or associate member of such a group, a company affiliated with such a group, a corporate racketeer (sokaiya), a person or group engaging in improper conduct under the guise of social or political activism, a group engaged in organized or sophisticated criminal activity, or any comparable person or group (collectively, Anti-Social Forces), and that you have no relationship with Anti-Social Forces.
(2)If it becomes apparent that a user is in breach of the preceding paragraph, we may restrict that user's use of the Site without prior notice.
16. Changes to These Terms
(1)We may amend these Terms where necessary.
(2)Where we amend these Terms, we will publish the content of the amended Terms and the date on which the amendment takes effect, by an appropriate method including publication on the Site.
(3)Your use of the Site after the amended Terms take effect is treated as acceptance of the amended Terms.
(4)Where an amendment requires user consent under applicable law, we will obtain that consent and complete any other required procedure separately, by an appropriate method.
17. Severability
If any provision of these Terms, or part of a provision, is held invalid or unenforceable by law, the remaining provisions and the remaining part of the affected provision continue in full force and effect.
18. Governing Law and Jurisdiction
(1)The interpretation and application of these Terms are governed by the laws of Japan.
(2)Any dispute arising between us and a user in connection with use of the Site or these Terms is subject to the exclusive jurisdiction, in the first instance, of the Tokyo Summary Court or the Tokyo District Court, depending on the amount in dispute.
19. Relationship to Other Policies
These Terms should be read together with the following policies. Each policy supplements these Terms.

If a policy conflicts with these Terms, the policy prevails with respect to the subject it addresses.
